Affiliate Program Terms

1. Preamble

By generating, sharing, or using a Guara Cloud affiliate code, you agree to be bound by these Affiliate Program Terms (version v2026-04-10).

Guara Cloud is operated by DAEDALUS LTDA, registered under CNPJ 64.677.577/0001-15, headquartered in Blumenau, Santa Catarina, Brazil.

These terms should be read in conjunction with our Terms of Service and Privacy Policy.

2. Definitions

  • Affiliate: any registered Guara Cloud user who has generated an affiliate code and accepted these terms.
  • Referred User: a new user who signs up for Guara Cloud using an Affiliate's promotion code.
  • Commission: the monetary amount earned by the Affiliate for each qualifying payment made by a Referred User during the Commission Window.
  • Commission Window: the period of 3 (three) months starting from the Referred User's first subscription payment, during which the Affiliate earns commissions on the Referred User's payments.
  • Net Revenue: the gross invoice amount charged to the Referred User, excluding taxes, refunds, and chargebacks.
  • PIX Key: the Brazilian instant payment system key (CPF, CNPJ, email, phone, or random key) provided by the Affiliate for commission payouts.

3. Program Overview

The Guara Cloud Affiliate Program allows registered users to earn commissions by referring new users to the platform.

  • Any registered Guara Cloud user is eligible to participate in the affiliate program.
  • Each user receives one (1) unique affiliate code, auto-generated upon enrollment.
  • Affiliate codes are non-transferable and tied to the user's account.
  • Participation in the program does not create an employment, partnership, or agency relationship between the Affiliate and Guara Cloud.

4. Discount Terms

Referred Users who sign up using a valid affiliate code receive the following benefit:

  • 25% discount on their subscription for the first 3 (three) months, applied to any paid tier (Pro or Business).
  • The discount cannot be combined with other promotions, coupons, or discounts.
  • Self-referral is strictly prohibited. Affiliates may not use their own code to obtain a discount on their own account or any account they control.

5. Commission Terms

Affiliates earn commissions on qualifying payments made by their Referred Users:

  • Commission rate: 20% of the Referred User's net subscription revenue.
  • Commission window: 3 (three) months from the Referred User's first subscription payment.
  • Commission formula: floor(invoice_total_cents × 0.20).
  • Minimum payout threshold: R$10.00 (one thousand centavos). Commissions below this threshold accumulate until the minimum is reached.
  • Commissions are only earned on successful, non-refunded payments. Refunds, chargebacks, and disputed transactions do not generate commissions.

6. Payout Terms

  • Payouts are processed exclusively via PIX (Brazilian instant payment system).
  • Payouts are processed manually at Guara Cloud's discretion. There is no guaranteed payout schedule.
  • Guara Cloud reserves the right to withhold payouts pending fraud review or compliance verification.

7. PIX Key Responsibility

  • The Affiliate is solely responsible for providing and maintaining a correct and valid PIX key in their account settings.
  • Guara Cloud stores PIX keys using AES-256-GCM encryption at rest. However, Guara Cloud is not liable for payouts sent to an incorrect key provided by the Affiliate.
  • Affiliates may update their PIX key at any time through the platform dashboard.

8. Program Modifications

Guara Cloud reserves the right to modify the affiliate program terms, commission rates, discount percentages, or any other program parameters at any time.

  • Significant changes will be communicated to participants with at least 30 (thirty) days' notice via email or platform notification.
  • Commissions already earned prior to any modification will be honored at the rate in effect at the time they were earned.

9. Fraud and Abuse

The following activities are strictly prohibited:

  • Creating fake accounts or using bots to generate referrals.
  • Self-referral or referring accounts under the Affiliate's control.
  • Misrepresenting the Guara Cloud platform or affiliate benefits.
  • Spamming, unsolicited messaging, or other deceptive marketing practices.
  • Manipulating or attempting to manipulate the referral tracking system.
  • Any other activity that Guara Cloud deems fraudulent or abusive.

Guara Cloud reserves the right to immediately revoke affiliate status, void unpaid commissions, and permanently ban the user's account upon detection of fraudulent or abusive behavior.

10. Tax Responsibility

The Affiliate is solely responsible for reporting and paying all taxes, contributions, and levies applicable to the commissions received through the affiliate program, in accordance with Brazilian tax law.

Guara Cloud does not withhold taxes on affiliate payouts and is not responsible for providing tax advice or documentation beyond payment confirmations.

11. Limitation of Liability

Guara Cloud's total liability to the Affiliate under these terms is limited to the total commissions paid to the Affiliate in the 3 (three) months immediately preceding the event giving rise to the claim.

In no event shall Guara Cloud be liable for indirect, incidental, consequential, or punitive damages arising from participation in the affiliate program.

12. Dispute Resolution

Any disputes arising from or related to these terms shall first be submitted to amicable resolution between the parties for a period of 30 (thirty) days.

If no resolution is reached, the dispute shall be submitted to the Forum of the Comarca of Blumenau, State of Santa Catarina, Brazil, to the exclusion of any other, no matter how privileged.

13. Governing Law

These terms are governed by the laws of the Federative Republic of Brazil, with particular reference to:

  • Código Civil (Lei 10.406/2002) — general contract provisions.
  • Marco Civil da Internet (Lei 12.965/2014) — principles, guarantees, rights, and duties for internet use.
  • LGPD (Lei 13.709/2018) — data protection and privacy.
  • Código de Defesa do Consumidor (Lei 8.078/1990) — consumer protection, where applicable.
